1. Agreement to Terms and Declaration

1.1 Binding Agreement

Welcome to PAX Exchange Platform ("Platform," "Service," "we," "us," or "our"), operated by the PAX Foundation ("Company," "PAX Foundation," or "PAX"). By clicking "I Accept," accessing, or using PAX Exchange, you ("User," "you," or "your") declare and undertake to be bound by these Terms of Use ("Terms"), together with:

  • Our Privacy Policy (available at https://www.pax.foundation/privacy)
  • All current and future terms, conditions, and processes of the Platform
  • Any Additional Terms, Addenda, or stage-specific terms applicable to your account type

 

These documents collectively constitute a legally binding agreement between you and PAX Foundation.

1.2 Platform Amendments

You acknowledge and agree that the Platform may be amended by PAX from time to time and at its sole discretion. Your continued use of the Platform's features and services constitutes acceptance of such amendments. We will provide notice of material changes as specified in Section 19.2.

1.3 Authority to Accept

If you are accepting these Terms on behalf of an organization (as a Project Manager / Recipient representing Beneficiaries, or as an organizational Donor), you represent and warrant that you have the authority to bind that organization to these Terms.

1.4 Acceptance Requirement

If you do not agree to these Terms, you must not access or use the Platform.

 

2. Description of Service

2.1 Core Platform Function

The PAX Exchange is a digital platform designed to facilitate meaningful connections and exchanges within communities, with particular focus on:

  • Connecting Donors with Project Managers / Recipients representing Beneficiaries
  • Managing project proposals and implementation
  • Facilitating transparent, accountable donation processes
  • Supporting community development and grassroots initiatives
  • Enabling project lifecycle management and oversight

2.2 Platform Role

PAX shall facilitate, through the Platform, connections between Donor(s) and Project Manager(s) / Recipient(s) representing Beneficiary(ies). PAX acts as an intermediary platform connecting Users but is not a party to the actual agreements, exchanges, or transactions between Donor(s) and Project Manager(s) / Recipient(s).

2.3 Donation Processing

Donations made on the Platform shall be forwarded by PAX to the Project Manager / Recipient selected by such Donor(s):

  • In installments based on scheduled and submitted invoices by the Recipient(s)
  • Subject to conditions set in these Terms of Service
  • Following verification and compliance requirements
  • Upon satisfaction of stage-specific milestones and deliverables

 

 

3. Platform Principles and Community Standards

3.1 Commitment to Community

The PAX Exchange is built on principles of:

  • Accountability and transparency in all exchanges
  • Prosperity through collaboration and mutual support
  • Inclusive and diverse communities
  • Supporting local and grassroots initiatives
  • Platform neutrality and non-discrimination
  • User privacy and data sovereignty

3.2 Non-Discrimination Policy

The PAX Exchange is available to everyone. We do not discriminate based on race, religion, national origin, gender, sexual orientation, age, disability, political affiliation, or other protected characteristics. We strive to support every user on our platform regardless of their background or beliefs.

 

4. Eligibility and Account Registration

4.1 Eligibility Requirements

To use the PAX Exchange, you must:

  • Be at least 18 years old or have parental/guardian consent
  • Have the legal capacity to enter into binding agreements
  • Not be prohibited from using the Service under applicable laws
  • Comply with all local, state, national, and international laws and regulations
  • Meet any additional eligibility requirements for specific Platform features

4.2 Account Types

PAX Exchange offers different account types:

 

Donor Accounts: For individuals or organizations making donations

  • May contribute to Project Managers / Recipients of their choice
  • Receive updates on project implementation
  • Access transparency and accountability reports

 

Project Manager / Recipient Accounts: For organizations or individuals representing Beneficiaries

  • Submit project proposals
  • Receive donations in installments
  • Report on project progress and outcomes
  • Maintain compliance with project requirements

 

Beneficiary Designation: Project Managers / Recipients act on behalf of Beneficiaries who are the ultimate beneficiaries of donations through projects undertaken by Project Managers / Recipients and funded by Donors.

4.3 Account Registration and Information

Users are required to create an account on the Platform to access and use its features. Registration must include accurate, complete, and up-to-date information as requested by the Platform.

 

Providing the aforementioned information and ensuring it remains accurate and current is a condition precedent of continued access and visibility on the Platform. PAX reserves the right to suspend or remove any account that does not meet said requirements.

 

You must:

  • Provide accurate identity, contact, and organizational information
  • Verify your identity as required for your account type
  • Submit all required documentation (registration certificates, licenses, etc.)
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately in writing of any unauthorized access or security breaches

4.4 Account Security and Responsibility

  • You may only create and maintain one account unless expressly permitted by PAX
  • You are fully responsible for all activities under your account
  • You are responsible for any actions taken through your credentials, except for actions taken after you have notified us in writing that your account has been compromised
  • You must keep your account information current and accurate
  • Account sharing or transfer is prohibited without PAX’s prior written consent

4.5 Information Verification and Liability

Although PAX undertakes limited screening and identity verification of Users, PAX relies on Users to submit accurate information, and PAX does not guarantee, or assume responsibility for the accuracy, authenticity, legality, or current validity of any information provided by any of the Users. PAX is not liable for any consequences, loss, or damage arising from reliance on such information by the Users or any other party whatsoever.

 

Acceptance and listing on the Platform does not imply endorsement or verification of the Users' legal or operational status.

 

5. Identity Verification, Vetting, and Data Use

5.1 Identity Verification Requirements

To maintain Platform integrity and comply with applicable regulations, PAX conducts limited screening and identity verification for all Users. The extent of verification depends on account type and activities.

5.2 Recipient Vetting Process

As part of account creation and continuing use of the Platform, Recipients agree to:

 

Comprehensive Vetting:

  • Undergo thorough vetting by PAX Foundation and/or its authorized third-party verification partners
  • Provide all requested documentation including but not limited to:
    • Organizational registration and legal status documents
    • Tax identification and compliance certificates
    • Proof of physical address and operations
    • Identification documents for key personnel including those associated with Project Manager / Recipient vendors and consultants
    • Financial statements and audit reports (where applicable)
    • References from credible organizations or individuals
    • Any other documentation PAX deems necessary

 

Accepting Vetting Results:

  • Accept PAX's vetting determinations as final and binding
  • Acknowledge that PAX may approve, conditionally approve, or reject accounts based on vetting results
  • Understand that vetting approval may be revoked if new information emerges
  • Accept that PAX is not required to disclose specific reasons for vetting decisions
  • Agree to re-vetting at PAX's discretion at any time

5.3 Ongoing Monitoring

Recipients further agree to:

  • Periodic re-verification of identity and organizational status
  • Continuous monitoring of account activity and transactions
  • Investigation of suspicious or unusual activity patterns
  • Additional documentation requests at any time
  • Immediate notification to PAX in writing of material changes to organizational status or to any of the Recipient’s representatives or officers

5.4 Project and Usage Data Analysis

By using the Platform, all Users explicitly agree that:

 

Data Collection and Analysis:

  • PAX may collect, analyze, and aggregate data related to:
    • Project proposals, implementation, and outcomes
    • Transaction patterns and funding flows
    • User behavior and Platform usage patterns
    • Communication content and metadata
    • Performance metrics and success indicators
    • Compliance and verification data

 

AI Training and Machine Learning:

  • Project data, usage data, and aggregated information may be used for training artificial intelligence systems and machine learning models
  • These AI systems may be used to:
    • Improve Platform functionality and user experience
    • Enhance fraud detection and security measures
    • Optimize project matching and recommendation algorithms
    • Predict project success and risk factors
    • Automate vetting and verification processes
    • Generate insights for Platform improvement

 

Data Processing Safeguards:

  • Personal identifying information will be anonymized, aggregated, pseudonymized or de-identified to the extent practicable  before use in AI training
  • Data used for AI training may be retained indefinitely
  • AI models may be used internally by PAX and/or licensed to third parties
  • Aggregated or anonymized insights derived from User data may be shared publicly and/or commercially

5.5 Consent and Acknowledgment

By accepting these Terms, Users explicitly consent to and acknowledge:

  • Their data being used for the purposes described above
  • That opting out of data analysis for AI training may limit or prevent Platform access
  • That insights derived from their data may benefit other Platform users and the broader community
  • That PAX owns all derived data, analytics, and AI models created from Platform data

5.6 Verification Service Providers

PAX may use third-party identity verification and vetting services. By using the Platform, Users consent to their information being shared with these service providers for verification purposes.

 

6. User Responsibilities and Declarations

6.1 Donor Responsibilities

The Donor is solely responsible for their decision to contribute to any Project(s).

  • PAX will endeavor to track and monitor use of funds and report to Donors regarding the use of funds, but PAX does not control Project Managers / Recipients and PAX does not guarantee donations will be used as Donors intend by the Project Manager / Recipient
  • The Donor acknowledges that donations are made at their own risk
  • PAX shall not be held liable for any loss, misuse, or misappropriation of funds by any Project Manager / Recipient
  • PAX is not liable for consequences stemming from false or misleading information provided by the Project Manager / Recipient
  • Donors should conduct their own due diligence before making donation commitments

6.2 Project Manager / Recipient Responsibilities

Project Managers / Recipients acting on behalf of Beneficiaries are solely responsible for:

  • The accuracy and completeness of all information provided about projects and Beneficiaries
  • Obtaining and maintaining all necessary governmental and administrative authorizations, approvals, permits, and licenses required for projects
  • Proper use of donated funds according to approved project proposals
  • Timely submission of accurate invoices and progress reports
  • Compliance with all applicable laws and regulations
  • Performance of obligations to Donors and Beneficiaries
  • Adherence to stage-specific requirements and deliverables

6.3 No Guarantee of Donations

PAX does not guarantee to any Beneficiary or Project Manager / Recipient that they shall receive donations from Donors. Listing on the Platform does not constitute a promise or commitment of funding.

6.4 Platform Non-Liability for User Transactions

PAX is not liable for any failure by Donors to make donations, nor for any failure of Project Managers / Recipients to receive donations, nor for any disputes that might arise between Donors and Project Managers / Recipients and/or any other party whatsoever, other than with respect to express commitments, if any, made by PAX to transfer funds to Project Managers / Recipients.

 

7. Project Stages and Stage-Specific Terms

7.1 Overview of Project Lifecycle

Projects on PAX Exchange proceed through multiple stages, each with specific requirements and commitments. By advancing to each stage, Users agree to the applicable stage-specific terms.

7.2 Stage 1: Project Concept Note

In Stage 1, Project Managers / Recipients complete a Project Concept Note form which is designed to help pitch a project for donor funding. PAX verifies the information provided and then publishes a summary on the Exchange to begin the fundraising process. Once the project reaches 75% of its funding target, the project will proceed to Stage 2 (Project Proposal).

 

Per Section 6.3, PAX does not guarantee to any Beneficiary or Project Manager / Recipient that they shall receive donations from Donors. Listing on the Platform does not constitute a promise or commitment of funding.

7.3 Stage 2: Project Proposal Development

In Stage 2, Project Managers / Recipients complete a full Project Proposal. PAX facilitates donor review and feedback. 

 

When a Project Manager / Recipient advances to Stage 2 (Project Proposal), they agree and declare to commit to the following terms:

  • Commitment to collaborating exclusively with the PAX Foundation on the development and execution of the full proposal for their project
  • Acknowledgement that the Concept Note serves as the agreed scope of work
  • Confirmation that they have obtained – and/or further undertake to obtain - all necessary governmental and administrative authorizations, approvals, permits, and licenses required for the project, and will maintain them as necessary
  • Acceptance that the PAX Foundation will oversee the entire project lifecycle
  • Agreement to submit an invoice that represents a reimbursement of billable hours associated with the Project Proposal preparation, if applicable 
  • Understanding that this invoice is required for a transfer of funds from the PAX Foundation upon completion of the Project Proposal stage

 

Once the Project Proposal is final, the project will proceed to the Project Execution stage.

7.4 Stage 3: Project Execution

In Stage 3, Project Managers / Recipients execute on their approved Project Proposal. During this stage of the project lifecycle, the Project Managers / Recipients are responsible for managing a procurement process and regularly submitting Interim Reports to update on their project progression. PAX may also conduct Site Visits during the Project Execution Stage.

 

When a Project Manager / Recipient advances to Stage 3 (Project Execution), they agree to the following procurement-focused requirements:

  • Preparation of an invitation to bid and related bidding documents
  • Advertisement of the bid and solicitation of offers from vendors
  • Assignment of a neutral evaluation committee to review the bids
  • Collection of offers from the minimum required number of vendors
  • Organization of a formal bid opening meeting
  • Selection of the vendor based on best value for money
  • Conducting of due diligence on the selected vendor
  • Acceptance that PAX will also vet their selected vendor before they finalize agreements. If the vendor does not pass the PAX vetting, they will submit the next best vendor for vetting
  • Announcement of the selected vendor
  • Contracting with the selected vendor, provided that they pass the PAX vetting
  • Organization of a public launch event to initiate project implementation



By accepting Stage 3 terms, Project Managers / Recipients confirm compliance with all procurement requirements and accept PAX's vendor vetting process.

 

The Interim Report serves as a snapshot of the project’s progress and financial status for a defined reporting period. It captures automatically-populated financial information to reflect the funds received, funds disbursed, and remaining balance for the project. The Project Manager / Recipient provides a summary of project activities, an overview of current or anticipated risks and challenges, as well as updates to the project schedule initially proposed during the proposal phase.

 

All procurement forms and Interim Reports must be completed and approved before the project can move to Stage 4 (Project Assessment).

7.5 Stage 4: Project Assessment

In Stage 4, Project Managers/ Recipients submit a Final Report. The Final Report provides a comprehensive overview of the project’s implementation, results, and lessons learned, serving as a key tool for accountability and future planning. It captures:

  • Financial information: these are automatically populated by the system to reflect the funds received (from all donors) and disbursed (by PAX).
  • Project overview, achievements, lessons results, next steps and closing ceremony. These are entered by the recipient, to summarize project activities, results, and outcomes.

 

Project Managers / Recipients must submit the Final Report no later than 1 month after the start date of Stage 4 (Project Assessment). 

 

The role of PAX in this process is only to acknowledge receipt of the submitted Final Report, to confirm that its staff have reviewed at a high level. PAX does not engage in an approval/rejection review workflow. 

 

Final payments by PAX are processed only after the Final Report is submitted. PAX reserves the right to withhold payments should any discrepancies appear in the implementation process. 

7.6 Stage 5: Project Closure

In Stage 5, PAX prepares the Project Closure Report in order to formally conclude the project. The Project Closure Report evaluates the project’s outcomes, captures beneficiary feedback, and reconciles financials. 

 

The Project Closure Report is made available to donors for their review. The Project Closure Report is also accessible to Project Managers / Recipients once the project is marked as completed.  

 

It is possible that Stage 5 (Project Closure) may remain open for an extended period beyond the submission of the Project Closure Report if additional processes are required on the ground (such as, but not limited to, investigations, litigations, or third-party reviews).

 

7.7 Additional Stage Requirements

PAX may introduce additional stages or modify stage requirements as projects evolve. Project Managers / Recipients will be notified of any additional stage-specific terms and must accept them before proceeding.

7.8 Stage Progression and Payment

  • Payment installments are tied to successful completion of stage requirements
  • Recipients must submit proper documentation and invoices for each stage
  • PAX reserves the right to withhold payments if stage requirements are not met
  • Failure to comply with stage-specific terms may result in project suspension or termination

 

8. PAX Administrative Fee

8.1 Fee Structure

To support Platform operations and maintenance, PAX charges an administrative fee on donations processed through the Platform:

 

Standard Administrative Fee: 5%

 

The administrative fee is calculated as a percentage of the donation amount and is deducted before funds are transferred to Recipients.

8.2 Fee Variations

  • Project Managers / Recipients are entitled to an administrative fee of up to a maximum of 12% to account for their project management costs (e.g., billable hours for Project Proposal preparation) 
  • Total Combined Fees: The total combined administrative fee (including any partner fees) shall not exceed 17%
  • Sliding Scale: PAX aims to implement a sliding scale fee structure where the percentage decreases as donation amounts increase, making larger projects more efficient

 

8.3 What the Administrative Fee Covers

The PAX administrative fee covers:

  • Operations and Maintenance: 24/7 upkeep and maintenance of the PAX Platform
  • Platform Updates: Continuous improvement and updates to Platform features
  • Security and Infrastructure: Hosting, security measures, and technical infrastructure
  • User Support: Customer service and technical support for all Users
  • Compliance and Oversight: Monitoring, verification, and compliance activities
  • Payment Processing: Transaction processing and financial management
  • Development: New feature development and Platform enhancements

8.4 Fee Transparency

Administrative fees are clearly disclosed before any donation commitment is finalized. Donors will see the total donation amount, the administrative fee, and the net amount to be received by the Recipient.

8.5 No Hidden Fees

PAX does not charge additional hidden fees beyond the disclosed Standard Administrative Fee, except for:

  • Third-party payment processing fees (if disclosed separately)
  • Currency conversion fees (if applicable)
  • Other fees explicitly agreed to in Additional Terms

 

9. Acceptable Use Policy

9.1 Permitted Uses

You may use PAX Exchange to:

  • Connect with community members and organizations
  • Support meaningful development projects
  • Facilitate donation processes
  • Participate in project planning and implementation
  • Share knowledge and build collaborative networks
  • Engage in community development activities

9.2 Prohibited Activities - Representation and Warranty

You may NOT use PAX Exchange for:

 

Illegal or Harmful Activities:

  • Any illegal activities or violations of applicable laws or regulations
  • Activities that harm minors or exploit vulnerable populations
  • Harassment, bullying, stalking, or intimidation
  • Threats of violence or promotion of dangerous activities
  • Distribution of malware, viruses, or harmful code
  • Money laundering or financing of illegal activities

 

Fraudulent or Deceptive Practices:

  • Providing false or misleading information
  • Identity theft or impersonation
  • Fraudulent project proposals or false representation of Beneficiaries
  • Misuse or misappropriation of donated funds
  • Manipulation of Platform metrics or reporting
  • Creation of fake accounts or automated bot activity

 

Intellectual Property Violations:

  • Copyright, trademark, or patent infringement
  • Unauthorized use of proprietary content
  • Violation of trade secrets or confidential information

 

Platform Integrity Violations:

  • Circumventing Platform security or access controls
  • Reverse engineering or attempting to extract source code
  • Interfering with Platform functionality or other Users' access
  • Scraping, harvesting, or unauthorized data collection
  • Attempting unauthorized access to Platform systems
  • Denial-of-service attacks or similar disruptions

 

Financial Misconduct:

  • Using donations for purposes other than approved projects
  • Commingling donated funds with personal or other organizational funds
  • Failing to maintain proper financial records
  • Submitting fraudulent invoices or expense claims
  • Tax evasion or improper financial reporting

 

Community Standards Violations:

  • Discriminatory content or hate speech
  • Content that violates human dignity
  • False information that could cause public harm
  • Activities that undermine community trust
  • Breach of confidentiality obligations

 

You REPRESENT AND WARRANT the following:

 

Without limiting the foregoing, each User represents and warrants that it is aware of, and currently in compliance with, all applicable laws and regulations, including but not limited to anti-bribery, anti-corruption, and anti-money laundering laws. Each Project Manager / Recipient confirms that it has obtained and will maintain all necessary governmental and administrative authorizations, approvals, permits, and licenses required for any project. Each User confirms that it is committed to conducting its business with the highest standards of honesty, transparency, and ethical conduct, and shall uphold and promote integrity in all its dealings. Each User further represents that it has not taken and will not take, directly or indirectly, any action, nor has it refrained or will refrain from taking any action, that could result in a violation of any anti-corruption and anti-bribery legislation. Each User further undertakes not to engage in or tolerate any form of bribery, corruption, or unlawful activity.

9.3 Content Standards

All content you post on PAX Exchange must:

  • Be accurate and not intentionally misleading
  • Respect intellectual property rights
  • Comply with community standards and applicable laws and regulations
  • Not contain illegal, harmful, or offensive material
  • Respect privacy and dignity of all persons
  • Contribute positively to the community

9.4 Communication Standards

When using Platform communication features:

  • Only contact Users who have consented to communications
  • Ensure all communications are relevant and respectful
  • Comply with anti-spam laws and regulations and Platform policies
  • Honor opt-out requests immediately
  • Maintain professional conduct in all exchanges

 

10. Non-Disclosure and Confidentiality

10.1 Confidential Information

Users undertake to treat any non-public information obtained through the Platform as confidential, including but not limited to:

  • Non-public Information about other Users (Donors, Project Managers / Recipients, Beneficiaries)
  • Project details not publicly disclosed
  • Financial information
  • Platform processes and methodologies
  • Internal communications
  • Proprietary data and analytics

10.2 Confidentiality Obligations

Users undertake not to disclose, share, or use any confidential information for any purpose other than those directly related to their participation on the Platform.

10.3 Duration of Obligation

This confidentiality obligation remains in effect during and after the Users have stopped engaging on the Platform.

10.4 Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no breach of these Terms
  • Is required to be disclosed by law, court order, or regulatory authority
  • Is disclosed with prior written consent from the relevant User
  • Was independently developed without use of confidential information

10.5 Breach Consequences

Breach of confidentiality obligations may result in immediate account termination and legal action for damages and other available remedies.

 

11. Data Protection and Privacy

PAX is committed to protecting Users' privacy. Our collection, use, and protection of personal information is governed by our Privacy Policy, available at https://www.pax.foundation/privacy.

 

12. Fraud, Illegality, and Enforcement

12.1 Investigation Rights

PAX reserves the right to investigate and take action if there is reasonable belief or evidence that a User has:

  • Provided false or misleading information
  • Engaged in fraudulent activity
  • Misused or misappropriated funds
  • Entered into illegal operations
  • Violated these Terms or applicable laws or regulations
  • Compromised Platform security or integrity

12.2 Enforcement Actions

Depending on the severity and nature of violations, PAX may:

  • Issue warnings and require corrective action
  • Suspend User access to the Platform
  • Withhold or cancel pending payments
  • Terminate User accounts
  • Report violations to law enforcement
  • Take legal action for damages
  • Ban Users from future Platform access

12.3 Payment Suspension

PAX reserves the right to suspend or withhold payments if:

  • There is evidence of fraud or misuse of funds
  • Required documentation is not provided
  • Stage-specific requirements are not met
  • PAX determines that the Project Manager / Recipient's legal status has become questionable
  • Investigation reveals policy violations

12.4 Final Decision Authority

All decisions regarding fraud, illegal operations, and enforcement actions shall be made at the sole discretion of PAX and will be final.

12.5 Platform Non-Liability

The Platform shall not be liable for any loss or damage resulting from suspension, termination, or withholding of payments based on reasonable belief of violations.

12.6 Appeals Process

Users may appeal enforcement actions undertaken by PAX by:

  • Submitting a written appeal to PAX within 14 days after being notified by PAX of the enforcement action being appealed
  • Providing evidence and documentation supporting their position
  • Cooperating with additional investigation if required

Appeals will be reviewed by PAX in accordance with PAX’s then current standard appeals review process, and PAX will notify the User of the outcome of the appeal.  PAX's final decision is binding.

 

13. Platform Transactions and Payment Terms

13.1 Donation Processing

  • Donations are processed through authorized third-party payment processors
  • PAX facilitates the transfer of donations to Project Managers / Recipients, Consultants and Vendors
  • Payments are made in installments based on stage completion
  • Recipients must submit proper invoices for reimbursement

13.2 Invoice Requirements

Recipients must submit invoices that:

  • Are accurate and complete
  • Include proper documentation of expenses
  • Represent reimbursement of legitimate project costs
  • Comply with applicable accounting standards
  • Are submitted according to the schedule in project agreements

13.3 Payment Schedule

  • Payments are released upon completion of stage milestones
  • PAX reviews invoices and documentation before releasing funds
  • Payment timing depends on verification and compliance checks
  • Recipients should allow reasonable processing time for payments

13.4 Currency and Conversion

  • Donations may be made in various currencies
  • Currency conversion fees may apply
  • Exchange rates are determined at time of processing
  • Users are responsible for understanding currency implications

13.5 Taxes and Reporting

  • Users are responsible for all tax obligations related to donations
  • PAX may provide tax documentation as required by law
  • Recipients must maintain proper financial records
  • Donors should consult tax advisors regarding deductibility

13.6 Refunds and Disputes

  • Refund policies depend on the stage of project implementation
  • Disputes between Donors and Project Managers /Recipients should be resolved directly between themselves
  • PAX may provide mediation assistance but is not obligated to do so
  • PAX is not liable for disputes between Users

 

14. Intellectual Property Rights

14.1 Platform Intellectual Property

PAX Exchange and its content, features, and functionality are owned by PAX Foundation and/or its licensors and protected by intellectual property laws, including:

  • Software, algorithms, and technical infrastructure
  • Trademarks, service marks, logos, and branding
  • Platform design, user interface, and user experience
  • Proprietary methodologies and processes

 

Users acknowledge PAX Foundation as the owner of Platform intellectual property.

14.2 User-Generated Content

  • Users retain ownership of original content they create and post
  • By posting content, Users grant PAX a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute the content in connection with PAX Foundation operations
  • Users represent that they own or have necessary rights to all content they post
  • Users are responsible for ensuring content does not infringe third-party rights

14.3 Restrictions on Use

Users may not:

  • Copy, reproduce, republish, or redistribute Platform content for commercial purposes without PAX’s prior written consent
  • Modify the Platform or create derivative works
  • Remove or alter any proprietary notices
  • Use Platform intellectual property without prior written permission from PAX

14.4 License to Use Platform

Subject to compliance with these Terms, PAX grants Users a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes.

 

15. Disclaimers and Limitations of Liability

15.1 Service Disclaimers

THE PAX EXCHANGE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF INFORMATION
  • RESULTS OR OUTCOMES FROM PLATFORM USE
  • VERIFICATION OR ENDORSEMENT OF USER INFORMATION

15.2 No Responsibility for User Information

PAX does not guarantee, verify, or assume responsibility for:

  • The accuracy or validity of User-provided information
  • The legal or operational status of Users
  • The proper use of donations by Project Managers / Recipients
  • The achievement of project outcomes
  • Relationships or agreements between Users

15.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS:

  • PAX'S TOTAL LIABILITY IS LIMITED TO THE ADMINISTRATIVE FEES PAID BY THE CLAIMING PARTY IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER
  • PAX IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • PAX IS NOT LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR REPUTATION
  • PAX IS NOT RESPONSIBLE FOR LOSSES ARISING FROM USER-TO-USER TRANSACTIONS
  • PAX IS NOT LIABLE FOR MISUSE OR MISAPPROPRIATION OF FUNDS BY PROJECT MANAGERS / RECIPIENTS
  • PAX BEARS NO RESPONSIBILITY FOR DATA LOSS OR FALSE INFORMATION PROVIDED BY USERS
  • THESE LIMITATIONS APPLY REGARDLESS OF LEGAL THEORY AND EVEN IF PAX HAS BEEN ADVISED OF POSSIBLE DAMAGES

15.4 Platform Availability

  • PAX strives to maintain Platform availability but does not guarantee uninterrupted service
  • Scheduled maintenance may temporarily limit functionality
  • PAX is not liable for service interruptions due to circumstances beyond its reasonable control

15.5 Third-Party Services

The Platform may integrate with or link to third-party services. PAX is not responsible for third-party content, services, or practices. Users access third-party services at their own risk.

15.6 Jurisdictional Variations

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS OR LIABILITY LIMITATIONS. IN SUCH JURISDICTIONS, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

 

16. Indemnification

16.1 User Indemnification

Each User shall fully indemnify, defend, and hold harmless PAX Foundation, and its partners, affiliates, officers, directors, employees, agents, and contractors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to such User’s :

  • Use of the Platform and related services
  • Violation of these Terms or applicable laws
  • Activities performed on the Platform
  • Content posted or shared
  • Infringement of third-party rights
  • Exchanges or interactions with other Users
  • Breach of agreements with third parties
  • Misuse of donated funds
  • False or misleading information provided
  • Illegal status or operations

16.2 Defense and Settlement

PAX may, at its option, assume the exclusive defense and control of any matter subject to User indemnification. Users agree to cooperate with PAX's defense of such claims.

16.3 No Waiver

Users' indemnification obligations survive termination of these Terms and their use of the Platform.

 

17. Termination

17.1 Termination by User

Users may terminate their accounts at any time through account settings or by contacting PAX support. However:

  • Termination does not automatically cancel ongoing project commitments
  • Users remain responsible for all activities prior to termination
  • Outstanding obligations to other Users continue
  • Confidentiality obligations survive termination

17.2 Termination by PAX

PAX may suspend or terminate User accounts immediately if:

  • The User materially breaches these Terms
  • The account is used for illegal activities or fraud
  • There is reasonable belief of misuse of funds or false information
  • Required documentation or compliance requirements are not met or updated accordingly as required by PAX
  • Necessary to protect Platform integrity or other Users
  • Required by law or legal process
  • The account remains inactive for extended periods

17.3 Effects of Termination

Upon termination:

  • User's right to access the Platform ceases immediately
  • PAX may delete or disable access to the account and content
  • Outstanding financial obligations must be settled
  • Ongoing projects may be suspended or transferred
  • PAX may withhold payments pending investigation
  • Provisions that should survive termination remain in effect

  • Non-Disclosure and Confidentiality
  • Intellectual Property Rights
  • Disclaimers and Limitations of Liability
  • Indemnification
  • Governing Law and Dispute Resolution
  • Any provisions that by their nature should survive

 

18. Dispute Resolution

18.1 Governing Law

This Declaration and Undertaking, and these Terms of Use, shall be construed and interpreted according to the laws of the State of California, without regard to conflict of law principles. Exclusive jurisdiction is granted to the Courts located in the State of California in any dispute arising out of or relating to these Terms of Use.

18.2 Dispute Resolution Process

For disputes arising from these Terms:

  • Step 1: Direct Negotiation Users must first attempt to resolve disputes through direct communication with PAX support or with the other party.
  • Step 2: Mediation If direct negotiation fails, disputes may be submitted to mediation through a mutually agreed-upon mediator.
  • Step 3: Arbitration Disputes that cannot be resolved through mediation shall be resolved through binding arbitration administered by the International Chamber of Commerce under its Commercial Arbitration Rules, conducted in Los Angeles, CA.

18.3 Exceptions to Arbitration

The following are not subject to mandatory arbitration:

  • Claims seeking injunctive or equitable relief
  • Small claims court actions within jurisdictional limits
  • Intellectual property disputes
  • Claims related to Platform security or fraud

18.4 Class Action Waiver

Users agree that disputes must be brought individually and waive any right to participate in class actions or representative proceedings.

18.5 Legal Notices

All legal notices must be sent to PAX's registered address or designated legal email address.

 

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy and other incorporated policies, constitute the entire agreement between Users and PAX Foundation regarding the Platform.

19.2 Amendment and Modification

PAX reserves the right to amend these Terms at any time. For material changes:

  • PAX will provide at least 30 days advance notice
  • Notice will be provided via email, Platform notification, or website posting
  • Users may reject changes by terminating accounts during the notice period
  • Continued use after changes take effect constitutes acceptance of these changes

 

For non-material changes, no advance notice is required.

19.3 Severability

If any provision is found unenforceable, it will be limited or eliminated to the minimum extent necessary, and remaining provisions will remain in full force and effect.

19.4 Assignment

Users may not assign their rights or obligations without PAX's prior written consent. PAX may assign its rights and obligations to any affiliate, subsidiary, or successor entity.

19.5 No Waiver

PAX's failure to enforce any provision does not constitute a waiver of the right to enforce it later.

19.6 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, war, technical failures, or other force majeure events.

19.7 Relationship of Parties

These Terms do not create any partnership, joint venture, employment, or agency relationship. Users are independent participants on the Platform.

19.8 Headings

Section headings are for convenience only and do not affect interpretation of these Terms.

19.9 Language

These Terms may be translated into one or more languages for convenience. In case of conflict between versions, the English version prevails.

19.10 Waiver

PAX shall have the right, at its sole and absolute discretion, to waive, in whole or in part, any term, condition, requirement, step, stage, formality, or procedural obligation that may be applicable under these Terms of Use or in connection with their implementation. Such waiver may be made at any time, with or without notice, and shall not require the consent of any other party. PAX’s right to waive shall extend to any known or unknown condition or requirement, whether expressly stated herein or implied by the circumstances. No such waiver shall constitute a precedent or obligate PAX to grant any similar waiver in the future. The Donors and Project Managers / Recipients acknowledge and accept PAX’s discretionary authority in this regard.
